RexScribe is an AI-powered dictation and ambient scribe product (“RexScribe,” “the Product”) offered by RexEMR Inc. (“RexEMR,” “we,” “us,” or “our”). RexEMR Inc. is located at 1720 Howard Ave, Windsor, ON N8X 5A6, Canada. RexEMR India Pvt Ltd is a subsidiary of RexEMR Inc. and may be involved in the development, support, and maintenance of the Product. This Privacy Policy explains how RexEMR Inc., and its subsidiary RexEMR India Pvt Ltd., collect, use, disclose, and safeguard your personal information and patient information when you use our Services, including our website (the “Website”), applications (the “Application”), and any other RexScribe offerings (collectively, the “Services”). This policy also outlines your rights regarding your personal information under Ontario law.
RexScribe’s platform and service are designed to comply with the principles and requirements of Ontario’s Personal Health Information Protection Act (PHIPA). However, users of RexScribe, particularly healthcare providers, are ultimately responsible for ensuring their use of the platform adheres to PHIPA and other applicable laws, including obtaining all necessary patient consents.
RexScribe’s customers are primarily healthcare practitioners who are utilizing the Application. If you are a patient of a healthcare practitioner who uses the Application and do not wish for your personal information to be collected and used in the manner described in this Privacy Policy, you must inform the healthcare practitioner that you do not consent to the use of your personal information by the Application. We adhere to privacy by design principles by integrating data protection from the outset of designing our systems and business practices. Our measures include robust encryption, stringent access controls, and continuous threat monitoring. Privacy impact assessments are conducted regularly to ensure potential risks are identified and mitigated, ensuring data protection is a foundational aspect of our operations.
If we use personal information already collected in a manner different from that stated within this Privacy Policy, we will notify users via an updated information notice. This notice will inform you of the new use of the data and provide you with choices regarding its use.
Data Security & User Access Controls: All user data within RexScribe is encrypted both in transit and at rest using industry-standard encryption protocols to protect its confidentiality and integrity. Users cannot access data belonging to other users unless specific conditions are met, as detailed below:
- Medical Groups/Teams: In cases where a medical group or team has a contractual agreement with RexEMR Inc., data access may be granted to authorized staff members. This access is contingent upon the following:
- The medical group/team must enter into a legally binding agreement with RexEMR Inc. that outlines the specific terms of data access and confidentiality obligations.
- The medical group/team must provide explicit consent authorizing RexEMR Inc. to grant data access to designated staff members. This consent must comply with all applicable privacy laws and regulations.
- Access is limited to staff members who require access to the data as part of their job responsibilities within the medical group/team.
- RexEMR Inc. implements stringent access controls to ensure that only authorized staff members can access the data.
- The medical group/team remains responsible for ensuring that its staff members comply with all applicable privacy laws and regulations regarding patient consent and data confidentiality.

- Patient Consent & PHIPA Compliance: Users of RexScribe who use the Application in a healthcare setting or with patient information are solely responsible for obtaining all necessary consents from patients for the collection, use, and disclosure of their personal health information (PHI) as required by PHIPA. This includes, but is not limited to, obtaining explicit consent for recording conversations between the patient and provider for the purpose of generating notes and transcriptions using RexScribe. RexEMR Inc. is not responsible or liable for ensuring that users obtain appropriate patient consents. [RexScribe relies on healthcare practitioners to obtain consent for the collection of patient’s personal information to be used by RexScribe. OHIP/Provincial Billing Information (and equivalents) | For users in Ontario, and in other provinces and territories where RexEMR offers services that facilitate billing, we collect patient and physician OHIP billing details (or the equivalent billing details for the respective provincial/territorial health insurance plan). 3. How We Share Your Information
We will never sell anyone’s data. We only share your personal information with our service providers such as hosting, cloud, analytics, support and payment providers to operate the Website and the Application. This includes sharing your personal information for:

- Providing requested services or information,
- Operating the Website and Application, and
- Customer service.
We only use service providers who ensure a comparable level of protection for your personal information, as provided in this Privacy Policy. Our contracts with our service providers ensure they comply with that obligation and not use your personal information for their own purposes.

We may also disclose your personal information in connection with a corporate re-organization, amalgamation, or sale of the business (or potential sale of our business). Other than as described in this Policy, RexScribe will not use or share any information gathered or stored about the user or patient. RexEMR Inc. may use comments and feedback that are provided as part of survey, in marketing materials without contacting the customer to get their consent. Patient details won’t be shown unless consent is granted. We may display your comments.

- third-party suppliers and service providers (including providers for the operation of our Platform, websites, and/or our business, cloud storage providers, data analytics providers, customer support platforms, and security service providers);

- OHIP and other applicable provincial/territorial health insurance plans (for billing purposes);
- anyone to whom our assets or businesses (or any part of them) are transferred;
- specific third parties authorized by you to receive information held by us, and other parties involved in the delivery of healthcare services (provided the user has obtained appropriate consent AND meet the criteria specified in the “Data Security & User Access Controls” section);

- other persons, including government agencies, regulatory bodies, and law enforcement agencies, or as required, authorized, or permitted by law.
4. Your Rights and Choices Under Ontario Law
RexEMR respects your rights regarding your personal information, as outlined in Ontario’s privacy legislation. We are committed to providing you with reasonable access to and control over your data, while also protecting the integrity of our services and complying with legal and regulatory obligations.
- Access to Your Personal Information: You may request access to the personal information we hold about you, subject to applicable legal and contractual restrictions. To protect the privacy of others and the security of our systems, we may require you to verify your identity and may redact information that pertains to other individuals or that is commercially sensitive to RexEMR. We will process your request in accordance with applicable law and within a reasonable timeframe.
- Rectification (Correction) of Inaccurate Information: If you believe that any of the personal information we hold about you is incorrect or incomplete, you may request that we correct it. We will make reasonable efforts to rectify verifiable errors, but we are not responsible for the accuracy of information that you provided to us or that was generated by the AI based on your input.
- Erasure (Deletion) of Your Personal Information: You may request that we delete your personal information from our systems, subject to our legitimate business needs and legal obligations. We may retain certain information where required by law (e.g., for billing or tax purposes, or as required under PHIPA), where necessary to defend against legal claims, or where the information has been aggregated or anonymized. We will assess your request carefully and inform you of any limitations.
- Restriction of Processing: You may have the right to restrict our processing of your personal information in certain limited circumstances. This right is not absolute and depends on the specific situation. We reserve the right to refuse restriction requests that are unduly burdensome, frivolous, or that would impair our ability to provide the Services or comply with our legal obligations.
- Data Portability (Limitations Acknowledged): To the extent required by applicable law, and where technically feasible, you may have the right to request that we provide your personal information to you in a portable format. We may charge a reasonable fee for providing data portability, and we are not responsible for ensuring the compatibility of the data with any third-party system.
- Objection to Processing (Direct Marketing Focus): You have the right to object to our use of your personal information for direct marketing purposes. You can exercise this right by using the opt-out mechanisms we provide in our marketing communications or by contacting us directly. Please note that even if you opt out of marketing communications, we may still send you transactional or administrative messages relating to your use of the Services.
- Withdrawal of Consent (Limitations Apply): If we are processing your personal information based on your consent, you have the right to withdraw your consent at any time. However, withdrawing your consent will not affect the lawfulness of processing that occurred before your withdrawal. We may refuse requests that are unduly burdensome, technically infeasible, jeopardize the privacy of others, or violate our legal or contractual obligations.

5. How does RexScribe use artificial intelligence?
RexScribe uses in-house and third-party artificial intelligence service providers (the “AI Service Providers”) to help provide the Application, process the Transcripts, and return a summary of the Transcript as per the Terms of Use for the healthcare practitioner to review (the “Summarized Note”). Our contracts with our AI Service Providers ensure that they do not collect, use or disclose any information provided to them, except to provide the services we specifically request. We may de-identify Patient Information to use the de-identify data for further product improvements, in accordance with applicable legal and regulatory requirements.
6. Data Security
We take reasonable and appropriate measures to protect your personal information, especially dictation and transcription data, from unauthorized access, use, or disclosure. These measures include:
- Encryption: We use industry-standard encryption protocols to protect your data both in transit and at rest.
- Database Encryption: All data is stored in encrypted databases.
- Access Controls: Access to personal information is strictly limited to authorized personnel based on job function and the principle of least privilege.
- Monitoring Data Access: All data access is monitored and audited to detect and prevent unauthorized access or misuse.
- Secure Code Practices: We adhere to secure coding practices, and our code is regularly reviewed and tested for security vulnerabilities.
- Code Security Monitoring: Our code is not exposed but is continuously monitored for potential vulnerabilities and threats.
- Two-Factor Authentication: To further protect your account, we give users two-factor authentication.
- Third-Party Security: We ensure that our third-party service providers also maintain appropriate security measures to protect your personal information.
- All Data is stored in company RexEMR and that data store is secured.
- Staff Training: We put our staff through training about how to keep your information safe and secure at all times.
We generally hold personal information in our electronic databases. Our website and Platform and our working environment are built with integrated physical, electronic, and managerial processes designed to safeguard your information and protect it from misuse, interference loss, and unauthorized access, modification, or disclosure. Only staff and service providers who have a legitimate business purpose for accessing the personal information collected by us are authorized to do so. Unauthorized use of personal information by anyone affiliated with RexEMR is prohibited and constitutes grounds for disciplinary action. Transcripts and Summarized Notes are encrypted while retained by RexScribe, as is all other data we store. Our contracts with our service providers require them to use administrative, physical and technical measures to protect your data. The service providers have agreed to not use the information we provide them for their own purposes.
Even though we take all necessary steps to protect your personal information, security breaches cannot be eliminated and we cannot guarantee a breach will never occur.
7. Data Retention
We retain personal information for as long as required to provide the services for which it was collected, otherwise, in accordance with applicable legal and regulatory requirements.
- For Ambient Scribe, audio is processed in real-time and is not stored.
- For audio that you upload for transcription, the Audio Files are retained for up to 30 days, where anonymized Audio Files may be kept indefinitely to help us improve our product and service such as enhancing the accuracy of RexScribe’s voice to text engine.
Healthcare practitioners using the Application are required to comply with different statutory and regulatory requirements and store personal health information for a minimum length of time. This includes any Transcripts or Summarized Notes they elect to save within their own electronic medical record system. We encourage patients to speak with healthcare practitioners directly on how long they are required to store your personal information. We retain your personal information for as long as necessary to fulfill the purposes outlined in this Privacy Policy, and in accordance with the requirements of Ontario law. This means we will only keep your information for as long as it is needed for the purpose for which it was collected, or as required by law.
Importantly, while RexScribe’s platform and service are designed to comply with the standards set forth by Ontario’s PHIPA, users are responsible for ensuring their use of RexScribe adheres to all applicable PHIPA requirements, including obtaining valid patient consent for the collection, use, and disclosure of personal health information when using the application (e.g., recording conversations between the patient and provider to generate notes and transcriptions).
- HIPAA Applicability Notice: For users in the United States who are considered Covered Entities or Business Associates under the Health Insurance Portability and Accountability Act (HIPAA), RexScribe is committed to supporting HIPAA compliance. However, it is solely the responsibility of the Covered Entity or Business Associate to ensure that their use of RexScribe complies with all applicable HIPAA requirements. This includes, but is not limited to, implementing appropriate administrative, physical, and technical safeguards; entering into Business Associate Agreements with RexEMR where required; and obtaining all necessary patient authorizations.
8. How do we keep personal information accurate?
We take reasonable steps to ensure that any personal information in our custody is accurate and up-to-date but we mostly rely on our healthcare practitioners to notify us of any changes to personal information they provided us.
9. Do we store or share information outside of your country?
All user data is stored on servers located in Canada. RexEMR uses the Canadian instance, it is our store house.
We understand the importance of data security and privacy, and we’re committed to safeguarding your information. Please note that some functionalities of our Platform depend on third-party services, whose servers may be located outside of your jurisdiction. This, however, does not include sensitive or identifiable health information. Whenever these third-party services are utilized, we ensure that data processing agreements are entered into. These agreements are crucial as they enforce compliance with data protection standards and legal requirements, safeguarding your personal information from unauthorized use or disclosure. This contractual measure helps maintain the integrity and confidentiality of your data while enabling us to provide enhanced functionality through external services. RexEMR India Pvt Ltd. may have access to data for development and support purposes under strict contractual obligations and security measures that ensure compliance with Ontario and Canadian privacy law.
